Principles
Our Corporate governance is underpinned by two cornerstones: the Corporate Governance Code and the Electricity legislation.
Corporate Governance Code
Since June 2005, Elia shares have been listed on Eurolist by Euronext, the regulated market of Euronext Brussels.
Elia is therefore also subject to the rules of good governance applicable to listed companies.
These rules include the Belgian Corporate Governance Code for listed companies as published on 12 March 2009.
Elia accepts this Code as its reference framework and has formulated its Corporate Governance Charter in implementation thereof. The Corporate Governance Charter is available under the section Documents.
Electricity legislation
In addition, as system operator, Elia is always subject to specific and strict rules of good governance. These rules of good governance are defined in the Act of 29 April 1999 concerning the organisation of the electricity market (as amended) and in the Royal Decree of 3 May 1999 concerning the management of the national transmission system (as amended).
The above electricity legislation determines Elia's legal structure, the composition of its corporate bodies and its activities.
The strict separation between the composition of and responsibilities incumbent upon Elia's Board of Directors and Management Committee respectively is one of the core principles of corporate governance laid down by the electricity legislation.
